1. Acceptance

These Terms of Service ("Terms") are a contract between you and RateConfirm ("we," "us") for use of the RateConfirm website, web app, and Telegram bot (the "Service"). By creating an account, clicking accept, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you can bind that organization.

2. The Service

RateConfirm provides tools that may include: a Telegram bot that monitors groups you connect; extraction of load/broker information from messages and PDFs; AI chat over your workspace data; broker credit lookups via third parties; blacklist tools; and billing for subscription plans.

We are not a freight broker, carrier, freight forwarder, bank, or credit rating agency. The Service is assistive software only.

3. Accounts

You must provide accurate registration information and keep credentials confidential.
You are responsible for all activity under your account.
Notify us promptly of unauthorized access.
We may suspend accounts that appear compromised or abusive.

4. Telegram groups and third-party content

If you add @rateconfirmbot to a Telegram group, you represent and warrant that: (a) you are an admin (or otherwise authorized); (b) you have all rights and notices required to allow us to process group messages, files, and metadata (including content posted by other members); and (c) your use complies with Telegram’s terms and applicable law.

You remain responsible for your groups. We do not moderate third-party chats except as needed to operate or secure the Service.

5. AI and broker data disclaimer

AI outputs, parsed loads, and broker credit information may be wrong, incomplete, delayed, or outdated. You must independently verify all information before booking loads, extending credit, or making business decisions. The Service is not legal, financial, credit, or compliance advice.

Broker credit data is for your internal logistics risk assessment only. You must not resell it, publish it, use it for consumer credit, employment, housing, or insurance eligibility decisions, or violate the terms of RTS Pro or any upstream data provider.

6. Subscriptions and billing

6.1 Plans and trial

We offer tiered plans (for example Starter, Growth, Business) and may offer a time-limited free trial. Trial features and limits are shown in the app. A card is not required to start a trial unless we expressly say otherwise.

6.2 Payment methods

Paid plans may be billed in USD via Polar (Visa/Mastercard and related methods Polar supports) and/or in UZS via Payme when that method is available. Prices and currency are shown at checkout. Polar may act as merchant of record for card payments. By purchasing, you authorize recurring charges until you cancel.

6.3 Renewal and cancellation

Subscriptions renew automatically each billing period unless you cancel or turn off auto-renew in Billing (or via the applicable processor portal). After cancellation, access generally continues until the end of the paid period; no partial refunds for unused time except where required by law or expressly stated by us or the payment processor.

6.4 Refunds and chargebacks

Fees are generally non-refundable. If you believe a charge was made in error, contact [email protected] within 14 days. Filing a chargeback without contacting us first may result in suspension while we investigate.

7. Acceptable use

You agree not to:

Use the Service unlawfully or to violate others’ rights.
Bypass plan limits, payment, or access controls.
Reverse engineer the Service except where law allows.
Abuse APIs, scrape, or overload the Service.
Upload malware or interfere with other users.
Misuse broker or credit data, or use the bot in groups without authority.
Misrepresent AI or credit outputs as guaranteed facts to third parties.

8. Your data and our IP

You retain rights to logistics content you submit. You grant us a worldwide license to host, process, transmit, and display that content solely to provide and improve the Service. We may use aggregated/de-identified data for analytics and product improvement.

The Service (software, models configuration, branding, and documentation) is owned by RateConfirm and its licensors. Feedback you provide may be used by us without restriction or compensation.

9. Third-party services

The Service depends on third parties (Telegram, Polar, Payme, RTS Pro, AI vendors, hosting). Their outages, changes, or terms are outside our control. Your use of those services may be subject to their terms.

10. Availability

We aim for high availability but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice when practicable.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUTS, PARSED DATA, OR BROKER CREDIT INFORMATION WILL BE ACCURATE, COMPLETE, OR CURRENT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RateConfirm AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, LOADS, GOODWILL, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD (OR USD $50 IF YOU HAVE PAID NOTHING).

13. Indemnity

You will defend and indemnify RateConfirm and its officers, directors, and agents against claims, damages, and costs (including reasonable legal fees) arising from: (a) your content or Telegram groups; (b) your lack of authority to add the bot or process group members’ data; (c) your misuse of broker/credit data; (d) your breach of these Terms; or (e) disputes with third parties related to your freight operations.

14. Suspension and termination

You may stop using the Service and cancel as described in Billing. We may suspend or terminate access immediately for violations, legal risk, non-payment, or harm to the Service or others. Sections that by nature should survive (including 4–5 and 8–13, 15–16) survive termination.

15. Changes to Terms

We may update these Terms. Material changes will be posted with a new “Last updated” date and may be notified in-app or by email. Continued use after the effective date constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Uzbekistan, without regard to conflict-of-law rules. Exclusive jurisdiction and venue lie in the competent courts of Namangan, Republic of Uzbekistan, unless mandatory law requires otherwise. Before filing a claim, you agree to try to resolve the dispute informally by contacting [email protected].
